JOB TITLE: GOVERNANCE AND COMPLIANCE MANAGER

DURATION: Permanent Part time circa 3 ? 4 days per week

SALARY BAND: Salary will be commensurate with experience

REPORTING TO: Financial Controller

DIRECT REPORTS: No

JOB LOCATION: 3rd Floor Phibsborough Tower, Phibsborough Road, Dublin
7 plus hybrid in line with our policy. We are currently operating a
hybrid arrangement of in-person and remote working.

This year we are looking for an experienced Governance, Compliance and
Risk Manager to join our team. The role is part-time within a diverse
team and will be critical to ensuring compliance as a leading member
of Ireland?s community, voluntary and charity sector.

JOB DESCRIPTION:

The main purpose of the role is to ensure a robust compliance, risk,
governance and regulatory frameworks.

PRINCIPAL RESPONSIBILITIES:

RISK MANAGEMENT:

Promote a culture of risk awareness throughout the organisation by

* Maintaining a Companywide risk register that is reviewed and
updated regularly
* Tracking implementation of risk mitigants and risk actions plans
* Implement cyber audit recommendations
* Sponsor the awareness of an appropriate risk culture across the
organisation

COMPLIANCE:

Ensuring that the organisation is compliant with relevant legal,
fiscal, procurement and regulatory requirements by:

* Ensuring that policies and procedures are up to date, fit for
purpose and accessible and CFI enjoys quality compliance
* Demonstrate policies are living documents by regular reviews and
spot-checks to demonstrate compliance and understanding
* Maintain registers as required (Lobbying Act etc)
* Have an understanding of the Charities Act and the impact of same
for CFI
* Ensure all filings with Companies office, Charities Regulator are
up to date

GOVERNANCE:

Ensure governance structures are in place across the organisation and
utilised correctly by

* Monitoring ongoing adherence to the Charities Regulator Governance
Code and providing assurance to the CEO and the Board on an annual
basis that standards are met and can be evidenced
* Acting as Company Secretary for Board and Board Committees
* Ensuring key decisions follow the correct governance process

DATA GOVERNANCE:

* In conjunction with the IT Manager ensure a data governance
framework is in place for the organisation
* Data protection and GDPR policies and procedures are in place

BUSINESS CONTINUITY:

* Ensure business continuity plan is developed and tested on a
regular basis

HEALTH & SAFETY:

* Knowledge of Health & Safety Standards for organisations such as
CFI
* Ability to monitor compliance with same

BUSINESS ASSURANCE:

* Developing and implementing an assurance framework for key
business, risk and compliance processes.
* Rollout of Assurance Testing frameworks
* Reporting outcome of assurance testing to ARC on a regular basis

EXPERIENCE:

A relevant academic and/or professional qualification

* Proven track record in a compliance, risk, regulatory or another
internal control or governance role of not less than 5 years
* Knowledge of Companies Act, Charities Act and the Charities
Regulator Governance Code
* Solid knowledge and understanding of governance related
structures, systems, and processes
* Excellent IT Skills
* Develop real time reports and ability to present at senior
management and board level

* Affinity with the mission, vision and values of CFI
* Ability to liaise with internal and external stakeholders on
compliance, risk and regulatory matters
* Ability to manage and drive a diverse portfolio of
responsibilities.
